The Assistant Company Secretary will support the Company Secretary in ensuring compliance with corporate laws and regulations, enhance corporate governance, and assist in various administrative tasks related to board and shareholder meetings.

Kewajiban

• Monitor and collaborate with subsidiary companies in Thailand to ensure annual compliance with Corporate Law perspectives.
• Assist the Company Secretary in ensuring Thai Union Group PCL's compliance with all relevant regulations, including but not limited to the Public Limited Company Act, Securities and Exchange Act, SEC, and SET regulations.
• Take lead roles in all CG matters and enhance of good corporate governance including but not limited to preparation of CGR report, ASEAN Corporate Governance Scorecard (ACGS), AGM Checklist, CAC and etc.
• Support Company Secretary to ensure compliance of Thai Union Group PCL in all relevant areas including but not limited to Public Limited Company Act, Securities and Exchange Act, SEC and SET regulations and etc.
• Support the team in coordinating and preparing the materials of board and it’s subcommittees as well as shareholder meetings.
• Assist the team in preparing registration documents for Thai Union and its subsidiaries in Thailand, facilitating registration with the DBD and RD.
• Support the team in preparing various documents such as SET Disclosure, Related Parties Transaction Report, 56-1 One Report, and other related reports and etc.
• Other assignments as assigned from time to time.

Kualifikasi

• Bachelor's degree in law, accounting or related field.
• Minimum of 5 years of experience in the company secretary field.
• Strong background related to CG matters and good corporate governance enhancement for listed company.
• Proficiency in both written and spoken English is a mandatory requirement.
• In-depth knowledge in Thai Corporate Law and regulations related to corporate governance including international guidance.
• Familiarity with and be able to coordinate with the Securities and Exchange Commission (SEC) and the Stock Exchange of Thailand (SET).
• Strong attention to detail and organizational skills, ensuring accurate record-keeping and compliance.
• Ability to work independently and collaborate effectively within a team.
• Excellent communication and interpersonal skills for dealing with internal and external stakeholders.
