About this position
Responsibilities
• Organize and manage meetings for the Board of Directors, Management Committee, and Annual General Meeting (AGM).
• Ensure that all board resolutions are implemented and comply with the company’s Articles of Association.
• Maintain compliance with relevant laws, rules, regulations, and corporate governance practices, ensuring the Company and Board of Directors adhere to them.
• Act as a trusted advisor to board members and executives, providing guidance on governance matters.
• Prepare, maintain, and safeguard corporate records, including board meeting minutes, resolutions, and other essential documents.
• Monitor and report changes in regulations related to corporate governance, advising directors and executives as necessary.
• Liaise with the Securities and Exchange Commission (SEC) and the Stock Exchange of Thailand (SET) to ensure compliance.
• Facilitate onboarding programs for new directors, ensuring they understand their responsibilities and the company’s governance framework.
• Coordinate training opportunities for board members and executives in relevant areas.
• Train and guide subsidiaries to comply with SET and SEC regulations.
• Conduct evaluations of the Board of Directors' performance to identify areas for improvement.
• Collaborate with group-level teams to identify areas for sustainability improvement and develop strategies to address them.
• Produce reports and recommendations for sustainability programs, supporting the company’s long-term ESG goals.
• Work closely with internal departments and group-level teams to ensure alignment on corporate governance and sustainability initiatives.
• Act as a liaison between the Board, executives, and external stakeholders on governance and sustainability matters.
Requirements
• Bachelor’s degree in Law, Business Administration, Finance, or a related field; additional certifications (e.g., ICSA) are an advantage.
• Minimum of 4 years of experience as a Company Secretary or in a similar role.
• Proficiency in both written and spoken English.
