Senior Legal Counsel
About this position
Responsibilities
• Work closely with all stakeholders to understand the strategies and priorities of the company and provide excellent legal support; ensure company's interests are protected and advanced.
• Draft, review, comment, and negotiate moderate to more complex contracts and other legal instruments to support the operations such as service or supply contracts, purchase contracts, government contracts, sale agreements, partners or shareholder agreements, and other commercial agreements.
• Handle legal matters and provide legal advice in compliance with Thai laws, regulations, formalities and policies and guidelines including relating to contracting, human resource law and HSE/operational excellence.
• Provide clear, well-prepared, timely and fit-for-purpose oral and written legal advice relating to, among others, contractual, legal rights and obligations, claims and lawsuits, and also provide advice to clients on new laws and their impact.
• Interpret laws, rulings, and regulations; develop legal strategies and provide advice and advocacy on such strategies.
• Be a trusted advisor to and member of project/transaction teams advising on legal issues, contract terms, policies, and claims.
• Advise and support on regulatory matters (including audits and investigations by government authorities); manage and support emergency responses.
• Lead and manage legal disputes.
• Effectively identify, select, instruct and manage outside counsel in compliance with company guidelines and processes, including establishing and managing outside counsel budget and controlling costs.
• Participate in deployment of Legal initiatives.
• Provide client training and instruction on various aspects of the law and compliance.
• Set up and update guidelines and policies.
• Promote a culture of compliance and maintain the highest professional standards.
• Handle corporate governance matters.
• Such other work as may be assigned.
Requirements
• Bachelor of Laws (L.L.B) or higher
• At least 8 years of PQE with license to practice law in Thailand
• Experience with a multi-national company and/or an international law firm a plus
• Oil and gas industry and/or retail experience an advantage
• Demonstrated skills and experiences in contract drafting, providing quality, timely and client-focused legal support
• Demonstrated ability to handle, evaluate and/or assess difficult issues and tasks
• Experience in corporate and commercial matters and litigation, energy transition issues and managing significant transactions an advantage
• Strong commitment to delivery of results and ability to effectively analyze, manage and report on a high volume of complex and diverse issues
• Highly motivated self-starter excels in dynamic team environments, adeptly collaborating with business and legal partners, both internal and external.
