About this position

To ensure compliance with legal requirements and support the company's strategic initiatives.

Responsibilities

• Lead the legal review of contracts across all areas of the Siam Motors business to ensure they are in Siam Motors’ best interest, legally sound, and compliant with applicable laws and regulations.
• Develop and maintain a contract management system to track, analyze, and report on contract status, compliance, and performance, facilitating efficient contract lifecycle management.
• Develop, issue, and oversee the implementation of SMG Legal Policy and a Corporate Compliance checklist to ensure legal standards are integrated into the organization's operations and strategic initiatives.
• The role involves leading contract reviews, developing a contract management system, and providing training on contract standards and risk management.
• Participate in determining policies and planning of the department per the company's policies and plan.
• Formulate and execute legal strategies for mergers and acquisitions, ensuring compliance with local and international laws.
• Communicate legal updates and issue a legal newsletter quarterly.
• Review annual meetings for directors and shareholders, ensuring compliance with legal requirements.
• Support company registrations with various government agencies, ensuring timely and accurate compliance with legal processes related to company changes, avoiding penalties.

Requirements

• Bachelor's degree in Law (Master's degree preferred).
• Minimum of 10 years of experience in a corporate law environment.
• Strong understanding of the Thai legal system, corporate governance practices, and compliance regulations.
• Proficient in both Thai and English, with excellent communication skills.
• Experienced in digital document management and proficient with SharePoint and MS 365.
• Licensed to practice law.
• Excellent organizational, analytical, and problem-solving skills.
• Ability to draft and interpret complex legal documents and provide clear, actionable advice.
• Strong interpersonal skills, capable of engaging effectively with both internal stakeholders and external agencies.
• Proven ability to work independently and collaboratively within a team, managing multiple projects under tight deadlines.
