Company Secretary and Compliance Supervisor (Truth Maritime Services Co., Ltd.)
About this position
Responsibilities
• Oversee shareholder meetings, Board of Directors (BOD) meetings, Board of Executive Directors (BOE), Nomination and Remuneration Committee (NRC) meetings, and other sub-committee meetings in compliance with legal and company regulations.
• Prepare meeting documents, compile necessary information, and organize logistics such as venue arrangements, meals, and refreshments for meeting attendees.
• Summarize director remuneration for BOD, BOE, NRC, Audit Committee (AC), Risk Management Committee (RMC), and Corporate Governance Committee.
• Liaise with the SEC on regulatory reporting requirements, including disclosures of director and executive securities trading, changes in company secretary, and major shareholder updates.
• Maintain and update director and top executive (Top 4) information and related business transactions.
• Prepare and submit the top 20 shareholders report to the company secretary.
• Support corporate governance committees in monitoring, evaluating, and reporting on compliance with good governance practices, disclosed in the Annual Report (56-1 One Report).
• Review and update Board and Committee Charters to align with corporate governance standards and improve CG Score ratings.
• Assist supervisors in ensuring compliance with the Public Limited Company Act, Securities and Exchange Act, SEC regulations, and Stock Exchange requirements.
• Prepare necessary disclosures, legal documents, and compliance reports.
• Compile data for the Annual Report (56-1 One Report) in line with SEC and Stock Exchange requirements.
• Draft and review company regulations, policies, and directives for approval.
• Update and maintain quality system documents, including Work Manuals and Work Instructions.
• Organize and maintain official company documents systematically.
• Support the Company Secretary with shareholder registry coordination with TSD.
• Assist in preparing the Annual Report and other regulatory disclosures, coordinating with internal departments and external printing vendors.
• Handle administrative tasks, including expense tracking and reporting for the Compliance & Company Secretary department.
Requirements
• Bachelor's degree in Law, Accounting, Business Administration, or related fields.
• At least 5 years of experience in compliance or regulatory roles related to securities laws in listed companies.
• Knowledge of IPO preparation processes.
• Strong understanding of Corporate Governance (CG) principles and CG Code for listed companies.
