Responsibilities
Job Responsibilities Drafting, Negotiation, and Contract Management:
• Draft, review, and negotiate a wide range of commercial agreements, including but not limited to: sales contracts, service agreements, non-disclosure agreements, and joint venture agreements.
• Develop and maintain standardized templates for various types of commercial agreements, ensuring compliance with applicable laws and regulations.
• Provide legal support in complex negotiations, ensuring that the Company's interests are protected.
• Identify and mitigate legal risks associated with commercial transactions.
Corporate Law and Governance:
• Advise on corporate governance matters, including board resolutions, shareholder agreements, and corporate restructuring.
• Manage the incorporation of new subsidiaries and branches, including all necessary filings and registrations.
• Handle mergers, acquisitions, and divestitures, including due diligence, negotiation of transaction documents, and post-closing integration.
• Stay updated on corporate law developments and ensure compliance with relevant regulations.
Legal Advice and Compliance:
• Provide strategic legal advice to all departments on a wide range of legal matters.
• Conduct legal research and analyze legal issues to support business decisions.
• Implement and maintain the Company's compliance program, including policies and procedures.
• Liaise with government agencies, external counsel, and other stakeholders on legal matters.
Additional Skills and Experience:
• Proven expertise in drafting, reviewing, and negotiating complex commercial contracts.
• Strong understanding of corporate law, including company formation, governance, and restructuring.
• Experience in handling mergers and acquisitions, joint ventures, and other corporate transactions.
• Excellent analytical and problem-solving skills with the ability to identify and mitigate legal risks.
• Ability to work independently and as part of a team.
Requirements
Qualifications
• Have 3-5 years of working experience in a law firm or in-house corporate lawyer
• Master/Bachelor’s degree of in Law or related field
• Holding Thai lawyer license
• Strong commercial law background especially in the negotiation and documentation of commercial contracts relevant to the business.
• Ability to draft/write English contracts/ legal documents is a must
• Good command of English (both writing and speaking)
• Demonstrating independence and maturity, attention to detail, ability to grasp relevant issues quickly and to understand the commercial context and complex legal concept.
