Everyday, Kerry Express delivers more than 1,100,000 of parcels to offices, warehouses, retail shops and households. Our key customers include international express firms, e-commerce companies, home shopping channels, banks, technology firms, telecom companies, financial institutes, schools, as well as local retail chains. Since 2013, Kerry Express started to provide over-the-counter parcel service (C2C) by opening Parcel Shops in local communities. We also operate Parcel Lockers in offices and condominiums. These service locations help thousands of individuals and SMEs in Bangkok sending parcels at ease to their families, friends, customers and business partners across the nation. Kerry Express is also Thailand’s biggest cash-on-delivery (COD) operator and in terms of overseas — Kerry Express has its presence in Hong Kong, Taiwan, Vietnam, Cambodia and Malaysia.

About this position

The Head of Legal will be responsible for overseeing all legal matters related to the company's international operations, advising on cross-border transactions, leading M&A transactions, and providing legal guidance to senior management.

Responsibilities

• Oversee all legal matters related to the company’s international operations, ensuring compliance with local laws and regulations in each market.
• Advise on cross-border transactions and business activities, including joint ventures, partnerships, and international expansions.
• Lead the legal aspects of M&A transactions, from due diligence to negotiation and integration.
• Draft, review, and negotiate agreements related to mergers, acquisitions, divestitures, and other corporate transactions.
• Collaborate with internal stakeholders and external advisors to ensure successful deal execution.
• Identify potential legal risks and provide proactive solutions to mitigate them.
• Ensure the company adheres to all relevant legal standards and regulations.
• Oversee the drafting, review, and negotiation of various contracts and legal documents.
• Establish and maintain contract management systems to ensure efficiency and compliance.
• Advise the board of directors and senior management on corporate governance issues.
• Serve as the primary legal advisor to senior management, providing strategic advice on a wide range of legal and business issues.
• Manage relationships with external legal counsel and other advisors.

Requirements

• Bachelor’s or higher education in Law or related fields.
• Minimum of 10 years of legal experience, with a strong background in corporate law, international law, and M&A.
• Proven experience in a leadership role within a legal department, preferably in a multinational company.
• Strong understanding of international business and legal environments.
• Excellent negotiation, drafting, and communication skills.
• Ability to manage multiple priorities and projects in a fast-paced environment.
• Strong analytical and problem-solving abilities.
• High ethical standards and integrity.
