Assistant Company Secretary
About this position
Dusit International, a premier hotel and property development company in Thailand, is seeking an experienced and proactive Assistant Company Secretary. The candidate will play a pivotal role in supporting the Board of Directors and Shareholders, ensuring compliance with regulatory standards, and maintaining effective corporate governance.
Responsibilities
• Meeting Organization: Assist in organizing the Board of Directors and Shareholders’ Meetings, guaranteeing efficiency and smooth proceedings.
• Documentation Preparation: Responsible for the creation and distribution of critical documents such as notices, minutes, and related materials for the Board of Directors and Shareholders’ Meetings.
• Liaison with Regulatory Bodies: Act as a key contact between the company and Thailand's financial regulatory bodies including the Stock Exchange of Thailand (SET), Securities and Exchange Commission (SEC), and Thailand Securities Depository (TSD).
• Compliance and Disclosures: Oversee corporate information disclosures (e.g., ELCID, One Report) ensuring adherence to legal and regulatory standards.
• Record Maintenance: Maintain and organize essential company documents, including statutory books and registers of members, shareholders, directors, and secretaries.
• Board/Committee Support: Provide assistance and support to the board or committees on special projects, facilitating the successful execution of initiatives.
Requirements
• Experience: Minimum 2-5 years in a Company Secretary role, preferably in a listed company.
• Education: Bachelor’s or Master’s Degree in Law, Arts, Business Administration, Economics, Finance, Banking, or related fields.
• Language Skills: Proficient in English, including reading, writing, speaking, and listening.
• Technical Skills: Strong command of Microsoft Office Suite (Word, Excel, PowerPoint).
• Knowledge: In-depth understanding of corporate laws, securities laws, corporate governance in listed companies, and regulatory compliance.
