CIMB Thai Bank Public Company Limited, previously known as Bank Thai Public Company Limited, was established in 1998 with the Financial Institutions Development Fund (FIDF) as the major shareholder. On 5 November 2008, CIMB Bank Berhad became the largest shareholder in Bank Thai and on 4 May 2009, the Bank completed the registration of its new name: "ธนาคาร ซีไอเอ็มบี ไทย จำกัด (มหาชน)" in Thai and "CIMB Thai Bank Public Company Limited" in English. This name change reflects the official transition of Bank Thai from being a single company to a member of CIMB Group.

About this position

The Company Secretary is responsible for ensuring compliance with laws and regulations related to company secretarial duties, maintaining statutory documents, and providing support for board and shareholders' meetings.

Responsibilities

• Comply with the laws/rules relating to company secretary
• Prepare and maintain statutory documents, including registers of directors and their secretaries
• Prepare and maintain minutes/notices of board of directors and committees under responsibility, and minutes/notices of shareholders’ meetings
• Collect required data for an application of new director’s appointment in coordination with Compliance
• Responsible for relevant contexts in One Report e.g., CG, directors’ information; and compiling data from other BUs
• Maintain report on interest and send the report to board chairman and AC chairman
• Advise board/directors on the laws/rules relating to them and to board/shareholders’ meetings, including CG requirements
• Arrange, organize and prepare documents relating to the board/shareholders’ meetings e.g., agenda, minutes
• Ensure duty performance of directors in compliance with the governing laws/rules
• Responsible for disclosure of the Bank’s data as well as necessary reports to SET and SEC
