About this position

The Associate Legal Professional - International Affairs will support M&A transactions, draft and negotiate documentation, ensure regulatory compliance, and handle company secretarial work for international entities.

Responsibilities

Key Responsibilities:
• Corporate M&A Transaction: Support M&A transaction by conducting due diligence, preparing and negotiating transaction agreements, including shareholders agreement, share sale and purchase agreement, disclosures, syndicated loan agreements as well as corporate documents required (e.g. minutes of BOD, shareholders meeting).
• Transactional Documentation: Draft, review and negotiate a wide range of corporate, M&A and international business related documentation, including agreements, corporate documents and all related legal documents.
• Regulatory Compliance: Advise international business units on relevant laws and regulations as well as conduct detailed legal research, staying current on laws and regulations relevant to international business units.
• Company Secretarial Work: Work on corporate documents of all international entities, coordinate and work with each local companies secretarial of each international entity.

Requirements

Qualifications:
• Minimum 3 years practicing in a reputable law firm with strong focus on corporate and M&A work. Experience in international transactions would be a plus.
• Fluency in both Thai and English, with strong drafting and communication skills in both languages.
• Exceptional attention to detail, capable of managing complex projects and meeting tight deadlines.
• Flexibility and openness to change, positive attitude.
• Hardworking and have legal and service mind.
• Effectively manage workload, ensuring timely delivery of all assignments and tasks.
