Company Secretary and Office Admin Manager

Bluebik is the leading consultancy focusing on comprehensive advice on digital transformation to transform the capabilities of our clients through technological application. The Company Secretary and Office Admin Manager is responsible for corporate secretarial and compliance administrations.
Responsibilities
• Responsible for corporate secretarial and compliance administrations e.g. maintain board of directors and shareholders documents, training records and legal billings etc.
• Arrange meetings for the Board of Directors, Management Committee and Shareholder meeting and coordinate to ensure that all resolutions have been implemented and complied.
• Give preliminary advice to Board members on legal issues, and practices of good corporate governance principles.
• Providing support for Directors and Executives to attend training courses in their relevant areas.
• Arranging Director's training/briefing for newly appointed Directors.
• Prepare and maintain documentations;
a. Director’s Register
b. Board meeting agendas, Minute of Board meeting and annual reports of company
c. Shareholder’s meeting agenda and Minute of shareholder’s meeting
• Conduct and provide advisory compliance risk assessment and ensure business process and internal activities are complied with relevant regulations
• Coordinating with related parties to develop and establish Compliance Control/Way of Conduct
• Monitoring tools and other Compliance & Control improvement scheme
• Supervise and manage daily administrative operations including facilities management, office supplies procurement, and vendor relations.
• Develop and implement administrative policies and procedures to streamline processes and ensure compliance with company standards
• Support other tasks as assigned by Chief Finance Officer
Requirements
• Bachelor’s degrees in Accounting, Law or relevant field
• At least 5 years of experiences in the corporate secretariat roles
• Extensive knowledge of compliance, relevant legal, rules & regulation
• Excellent Communication and Coordination skill
• Strong knowledge of company and corporate laws
• Good command of written and spoken English and Thai
• Highly organized, efficient with an attention to detail
• Strong leadership and communication skills, with the ability to influence and collaborate with employees at all levels
• Excellent problem-solving and decision-making abilities
• Ability to handle confidential and sensitive information with integrity and discretion
