Company Secretary (Manager) / Education in Legal
About this position
The Company Secretary (Manager) is responsible for ensuring the company's compliance with various laws and regulations, managing board meetings, and providing legal advice to different departments.
Responsibilities
• Oversee and be responsible for supervision of company to comply with various related laws, rules and regulations, such as law on public limited companies, law on securities and exchange commission and regulations of the Stock Exchange of Thailand and securities and Exchange Commission (SEC) etc.
• Take care of managing meetings of Board of Directors, sub - committees and shareholder meetings must be in accordance with law and company's regulations, as well as in accordance with guidelines set by company.
• Draft and / or review work in preparing meeting minutes and supporting documents various meetings in both Thai and English.
• Draft and / or review documents that company must disclose information Including company's information to be in accordance with relevant laws, rules and regulations.
• Provide advice to various departments regarding laws and regulations related to listed company.
• Draft and / or review work related to preparation of information and reports as required by law. Including work related to conversion of securities. Securities pawning and registration of plots through various registrations to government agencies.
• Oversee activities and courses to provide knowledge to committees.
• Study and search for legal information as well as conduct related research. To summarize and present to supervisor as assigned.
• Review and draft policies related to Board of Directors and sub - committees.
• Review and review documents published on company's website that related to governance.
Requirements
• Bachelor’s degree or higher in law, finance, accounting or other related fields
• Minimum of 8 years of experience in a listed company
• Strong knowledge in compliance and company secretary
• Experience in developing and implementing compliance policies and procedures including arranging training
• Ability to work collaboratively with cross - functional teams
• Good command of written and spoken English
